      What is Due Dilgence?

Due diligence is an investigation, audit, or review performed to confirm facts or details of a matter under consideration. In the financial world, due diligence requires an examination of financial records before entering into a proposed transaction with another party.

Due diligence is generally conducted by investors before any private equity investment, business sale, bank loan funding, etc. to check for regulatory and process compliance by the company in which they want to invest to avoid unwanted liability onto them. Due diligence are of 3 types namely legal due diligence, financial due diligence and business due diligence.

      Benefits of Due Diligence:

      Compliance with legal requirement

Due diligence process makes sure that the company is compliant with all the laws, rules, regulations applicable to the company. It looks into the legal issues/aspects and regulatory aspects involved in intra-corporate and inter-corporate transactions to give a fair idea of the compliance status of the company.

      Creates confidence among investor

Investors investing in the company get a fair idea about the compliance status of the company and provides assurance to the investors that there no penal actions will be taken against the company.

      Reduces risk and liabilities

In this due diligence process, the legal, financial, and compliance aspects of the company are usually reviewed and documented. It is the process of examining all the material facts of a deal or a contract before both parties sign a legal contract and can be conducted by both buyers and sellers. Due diligence is conducted to ensure that there are no surprises after a deal is done. The due diligence process allows an acquirer to identify and assess risks, liabilities and business problems in the target company before finalizing the transaction, potentially avoiding losses and bad press later on.
